1. Acceptance of Terms

By accessing or using AgentCanvas ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

AgentCanvas is a visual workflow automation platform that allows users to create, deploy, and manage intelligent workflows without coding. Our service includes:

  • Visual workflow designer with drag-and-drop interface
  • Pre-built workflow components and templates
  • AI integration capabilities
  • Media processing tools
  • Team collaboration features
  • API access and webhook support

3. User Accounts and Registration

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information
  • Keep your account credentials secure and confidential
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized use of your account

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Transmit harmful, offensive, or inappropriate content
  • Attempt to gain unauthorized access to our systems
  • Interfere with the Service or other users' experience

  • Create, distribute, or process illegal content or materials
  • Abuse system resources or circumvent usage limits
  • Harass, threaten, or harm other users or individuals

4.1 Prohibited Content and Activities

The following content and activities are strictly prohibited and will result in immediate account termination:

Illegal Content

  • Content that violates criminal laws, including but not limited to terrorism, child exploitation, human trafficking, or drug manufacturing
  • Content that promotes or facilitates illegal activities
  • Content that violates intellectual property rights, including unauthorized distribution of copyrighted materials
  • Content that violates data protection laws, including unauthorized sharing of personal information

Inappropriate or Harmful Content

  • Content that promotes violence, self-harm, or harm to others
  • Content that contains hate speech, discrimination, or harassment based on protected characteristics
  • Content that is sexually explicit, pornographic, or contains nudity without proper context
  • Content that promotes misinformation, conspiracy theories, or medical falsehoods
  • Content that is designed to deceive, mislead, or defraud users

System Abuse and Misuse

  • Attempting to circumvent billing, usage limits, or access controls
  • Using automated tools to generate excessive requests or content
  • Attempting to gain unauthorized access to other users' accounts or data
  • Reverse engineering, decompiling, or attempting to extract source code
  • Using the Service for cryptocurrency mining or other resource-intensive activities
  • Creating multiple accounts to evade restrictions or bans

Third-Party AI Provider Compliance

AgentCanvas integrates with third-party AI providers including OpenAI, Anthropic, Google, Mistral, and others. You must comply with each provider's terms of service and acceptable use policies when using their services through our platform. This includes but is not limited to:

  • Following each provider's content policies and usage restrictions
  • Not using AI services for activities prohibited by the provider (e.g., generating malware, creating deceptive content, circumventing safety measures)
  • Complying with provider-specific data handling requirements
  • Respecting output usage restrictions imposed by each provider
  • Not attempting to extract, reverse-engineer, or replicate AI model weights or architectures

Violation of any third-party AI provider's terms through our platform constitutes a violation of these Terms. We reserve the right to suspend or terminate access to specific AI providers or your entire account for provider policy violations. You are solely responsible for reviewing and complying with the terms of any third-party AI service you use through AgentCanvas.

Domain Squatting and Company Misrepresentation

  • Registering or claiming to represent a company without proper authorization
  • Using company names, trademarks, or domains without legitimate business relationship
  • Attempting to impersonate legitimate businesses or organizations
  • Creating accounts with the intent to sell or transfer company representations
  • Using public email domains (gmail.com, yahoo.com, etc.) for enterprise registrations

5. Content and User-Generated Workflows

You retain ownership of workflows and content you create using our Service. However, you grant us a license to:

  • Host and process your workflows to provide the Service
  • Use anonymized data to improve our platform
  • Display your workflows in our marketplace (if you choose to publish them)

You are responsible for ensuring your workflows comply with our Acceptable Use Policy and applicable laws.

5.1 Content Watermarking and Tracking

To protect against potential violations and ensure platform integrity, we may invisibly watermark content produced through our platform. This watermarking is designed to be undetectable to users while allowing us to track and identify content that may violate our terms of service or applicable laws. By using our Service, you acknowledge and consent to this watermarking process.

5.2 Content Moderation and Review

We reserve the right to review, moderate, and remove any content that violates our policies. This includes:

  • Automated content screening using AI-powered moderation tools
  • Manual review by our content moderation team
  • User reporting and community-driven content flagging
  • Regular audits of published and public content

5.3 Content Removal and Account Actions

When policy violations are detected, we may take the following actions:

  • Immediate removal of violating content
  • Temporary suspension of account access
  • Permanent account termination for serious violations
  • Reporting to relevant authorities for illegal content
  • Legal action for damages or violations of law

6. Subscription Plans and Billing

We offer various subscription plans with different features and limits:

  • Free Usage Tier: Free usage tier with pay-per-use pricing for AI model access
  • Starter: Basic features for individual users and small teams
  • Professional: Advanced features with higher limits and priority support
  • Enterprise: Full features with custom limits, SSO, and dedicated support

Subscriptions automatically renew unless cancelled. You may cancel at any time through your account settings.

7. Service Level Agreement (SLA)

For business customers, we commit to:

  • 99.9% Uptime: Guaranteed availability for production services
  • Response Times: Priority support with guaranteed response times
  • Data Backup: Daily backups with 30-day retention
  • Security Updates: Regular security patches and updates

SLA credits are provided for any downtime below our guaranteed levels.

8. Data Privacy and Security

We are committed to protecting your data and privacy:

  • All data is encrypted in transit and at rest
  • We never sell your personal data to third parties
  • Data processing follows GDPR and other applicable privacy laws
  • Regular security audits and penetration testing
  • Access controls and audit logging for all operations

9. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by AgentCanvas and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of your workflows and content, but grant us a limited license to provide the Service.

10. Service Provided "As-Is"

The Service is provided "as-is" and "as-available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. AgentCanvas does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee that the Service will meet your specific requirements or that any errors will be corrected.

10.1 No Warranties or Guarantees

To the maximum extent permitted by applicable law, AgentCanvas disclaims all warranties, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding the accuracy, reliability, or availability of the Service
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the results obtained from using the Service
  • Warranties regarding third-party services, content, or integrations

10.2 Service Availability

While we strive to maintain high availability, we do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

  • Scheduled maintenance or updates
  • Unforeseen technical issues or failures
  • Third-party service outages or dependencies
  • Force majeure events beyond our control

10.3 Limitation of Liability

To the maximum extent permitted by law, AgentCanvas shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or business opportunities
  • Service interruptions or downtime
  • Data loss or corruption
  • Third-party service failures
  • Loss of goodwill or reputation
  • Cost of substitute services

Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based, including contract, tort, negligence, or strict liability.

11. Indemnification

You agree to indemnify, defend, and hold harmless AgentCanvas, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorney's fees) arising from:

  • Your use of the Service or any activity conducted through your account
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • Content, workflows, or applications you create, publish, or distribute using the Service
  • Your violation of third-party AI provider terms, acceptable use policies, or content guidelines when using their services through our platform
  • Any claims arising from the output or results generated by workflows you create or operate
  • Your failure to comply with data protection laws in connection with personal data processed through your workflows

This indemnification obligation shall survive the termination of these Terms and your use of the Service.

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

12.1 Immediate Termination

Your account will be terminated immediately without warning for the following violations:

  • Creation or distribution of illegal content
  • Domain squatting or unauthorized company representation
  • Attempts to harm, harass, or threaten other users
  • System abuse, hacking attempts, or security violations
  • Violations of data protection or privacy laws
  • Repeated violations of our Acceptable Use Policy

12.2 Progressive Enforcement

For other policy violations, we may use progressive enforcement:

  • First Warning: Content removal and policy reminder
  • Second Warning: Temporary account suspension (24-72 hours)
  • Third Warning: Extended suspension (1-4 weeks)
  • Final Violation: Permanent account termination

12.3 Appeal Process

You may appeal account actions within 30 days by contacting our support team with:

  • Detailed explanation of why the action was taken in error
  • Evidence supporting your position
  • Steps taken to prevent future violations
  • Contact information for follow-up

12.4 Data Retention After Termination

Upon account termination:

  • Your account data will be permanently deleted within 30 days
  • Published content may be removed immediately
  • Billing information will be retained for legal and accounting purposes
  • Usage logs may be retained for security and compliance purposes
  • You may request data export before termination (GDPR compliance)

Upon termination, your right to use the Service will cease immediately. We may delete your account and data, though we will provide reasonable notice and opportunity to export your data.

13. Platform Administration and Enforcement

We maintain comprehensive administrative controls to ensure platform safety and compliance:

13.1 Administrative Actions

Platform administrators may take the following actions to maintain service quality:

  • Review and approve organization registration claims
  • Suspend or terminate accounts, organizations, or companies
  • Remove or moderate violating content and workflows
  • Implement usage limits and billing restrictions
  • Monitor system usage for abuse patterns
  • Enforce data residency and compliance requirements

13.2 Organization Management

For enterprise and business accounts:

  • All organization registrations require email verification and admin approval
  • Company domain claims are verified against business registries
  • Organizational units and hierarchies are managed by company administrators
  • Billing policies and usage limits are enforced at multiple levels
  • Audit logs track all administrative actions and policy changes

13.3 Compliance and Legal Cooperation

We cooperate with legal authorities and maintain compliance:

  • Regular compliance audits and security assessments
  • Cooperation with law enforcement for illegal activities
  • GDPR and data protection compliance measures
  • Industry-specific compliance (SOC 2, ISO 27001)
  • Regular policy updates based on legal and regulatory changes

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Amsterdam, Netherlands.

For EU consumers, you have the right to bring disputes to your local consumer authority or use the EU Online Dispute Resolution platform.

14.1 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits or class-wide arbitration.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

15.1 Material Changes

Material changes include but are not limited to:

  • Changes to acceptable use policies
  • Modifications to termination procedures
  • Updates to billing and pricing terms
  • Changes to data handling and privacy practices
  • Modifications to dispute resolution procedures

15.2 Notification Requirements

For material changes, we will provide:

15.3 Platform Updates and Modifications

AgentCanvas reserves the right to modify, update, or discontinue any aspect of the Service at any time, with or without notice. This includes but is not limited to:

  • Deploying software updates, patches, and new features at any time
  • Modifying or removing existing features, integrations, or capabilities
  • Updating AI model versions or switching between equivalent AI providers
  • Adjusting usage limits, rate limits, or resource allocations
  • Changing pricing, credit costs, or billing structures with 30 days' notice

We will make reasonable efforts to minimize disruption and provide advance notice for significant changes. However, security patches, critical bug fixes, and compliance-related updates may be deployed immediately without prior notice.
