1. Agreement and Acceptance

These Terms of Service ("Terms") constitute a binding legal agreement between you as an individual consumer ("you" or "your") and AgentCanvas B.V. ("Company," "we," "us," or "our"), a Dutch company located at [Company Address], regarding your use of the AgentCanvas platform and related services (the "Service").

These terms apply exclusively to individual consumers purchasing for personal use. If you are a business customer, separate business terms apply.

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Consumer Eligibility and Rights

2.1 Consumer Definition

You qualify as a consumer if you are an individual purchasing the Service for personal, non-commercial use outside of any trade, business, or profession.

You must be at least 18 years old to use the Service. If you are under 18, you may not create an account or use the Service.

AgentCanvas provides AI-powered workflow tools for personal productivity and creativity, including:

  • AI-powered content creation tools

  • Creative AI applications
  • Educational and learning resources

3.2 Service Limitations for Consumer Use

  • The Service is not designed for commercial or business use
  • Advanced enterprise features may not be available
  • Support response times may be longer than business customers
  • Usage limits apply to prevent commercial use

3.3 Service Availability

We provide the Service on a reasonable efforts basis. We may modify or discontinue features with reasonable notice, but will not materially reduce the Service without proper compensation rights.

4. Consumer Pricing and Payment

4.1 Transparent Pricing

  • All prices are clearly displayed in Euros (EUR) including applicable VAT
  • No hidden fees or surprise charges
  • Price increases require 30 days' advance notice
  • Right to cancel if you don't accept price increases

4.2 Payment Methods

  • We accept major credit cards and other payment methods via Adyen
  • Automatic payment authorization required for subscriptions
  • You can change payment methods through your account settings

4.3 Subscription Terms

  • No Automatic Renewal: Subscriptions do not automatically renew
  • Renewal Reminders: We'll send reminders before subscription expires
  • Manual Renewal: You must actively choose to renew your subscription
  • No Cancellation Fees: Cancel without penalties or hidden charges

5. Consumer Right of Withdrawal

5.1 14-Day Cooling-Off Period

You have the right to withdraw from your purchase within 14 days of:

  • Initial purchase date
  • Beginning of subscription period
  • Any subscription renewal

5.2 How to Exercise Withdrawal Right

To withdraw, you must:

  • Send clear notice to support@agentcanvas.net
  • Include your name, address, and order details
  • State your decision to withdraw
  • No reason required

5.3 Withdrawal Refunds

  • Full refund within 14 days of withdrawal notice
  • Refunds processed via original payment method
  • No deduction for services already provided during withdrawal period
  • Refunds include any setup fees or initial charges

5.4 Exceptions to Withdrawal Right

The withdrawal right does not apply to:

  • Digital content that has been fully downloaded or used
  • Services fully performed with your prior express consent
  • Customized or personalized content created for you

6. Consumer Refund Policy

6.1 Service Non-Performance

You are entitled to a refund if:

  • The Service doesn't work as described
  • Technical issues prevent normal use for more than 48 hours
  • We fail to provide the agreed service level

6.2 Partial Refunds

  • Pro-rated refunds for early cancellation due to service issues
  • Refunds for unused subscription periods if service is discontinued
  • Compensation for service disruptions lasting more than 24 hours

6.3 Refund Process

  • Contact support@agentcanvas.net with your refund request
  • We'll respond within 7 days
  • Refunds processed within 14 days of approval
  • Refunds via original payment method

7. Consumer Acceptable Use

7.1 Personal Use Only

The Service is provided for your personal, non-commercial use only. You may not:

  • Use the Service for business or commercial purposes
  • Resell or redistribute access to the Service
  • Generate content for commercial sale or distribution
  • Use the Service on behalf of others

7.2 Prohibited Activities

You agree not to:

  • Violate any applicable laws
  • Create harmful, offensive, or illegal content
  • Harass or harm other users
  • Attempt to hack or disrupt the Service
  • Share inappropriate content with minors
  • Violate others' intellectual property rights

Third-Party AI Provider Compliance

When you use AI features on AgentCanvas, your requests are processed by third-party providers such as OpenAI, Anthropic, Google, and others. You must follow each provider's rules:

  • Do not use AI services for purposes prohibited by the AI provider
  • Follow each provider's content and safety policies
  • Do not attempt to bypass AI safety measures or content filters
  • Respect output usage restrictions set by each provider

Breaking an AI provider's rules through our platform is also a violation of our terms.

7.3 Content Guidelines

When creating content through the Service:

  • Respect copyright and intellectual property rights
  • Don't create content that could harm others
  • Be mindful of privacy when sharing content
  • Follow community standards for appropriate content

7.4 Content Watermarking and Tracking

To protect against potential violations and ensure platform integrity, we may invisibly watermark content produced through our platform. This watermarking is designed to be undetectable to users while allowing us to track and identify content that may violate our terms of service or applicable laws. By using our Service, you acknowledge and consent to this watermarking process.

8. Consumer Data Protection

8.1 Your Personal Data Rights

Under GDPR, you have the right to:

  • Access your personal data
  • Correct inaccurate data
  • Delete your data (right to be forgotten)
  • Restrict data processing
  • Data portability
  • Object to processing

9. Service Provided "As-Is"

The Service is provided "as-is" and "as-available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. AgentCanvas does not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee that the Service will meet your specific requirements or that any errors will be corrected.

9.1 No Warranties or Guarantees

To the maximum extent permitted by applicable law, AgentCanvas disclaims all warranties, express or implied, including but not limited to:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties regarding the accuracy, reliability, or availability of the Service
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the results obtained from using the Service
  • Warranties regarding third-party services, content, or integrations

9.2 Service Availability

While we strive to maintain high availability, we do not guarantee that the Service will be available at all times. The Service may be unavailable due to:

  • Scheduled maintenance or updates
  • Unforeseen technical issues or failures
  • Third-party service outages or dependencies
  • Force majeure events beyond our control

9.3 Statutory Consumer Rights

Nothing in these Terms limits your statutory warranty rights under consumer protection laws. As a consumer, you have the right to:

  • Receive a service that conforms to the contract
  • Request repair or replacement if the service is defective
  • Receive a price reduction or terminate the contract if repair/replacement is not possible
  • Seek compensation for damages caused by non-conforming service

These statutory rights are in addition to, and not limited by, the "as-is" disclaimer above, to the extent required by applicable consumer protection laws.

Platform Updates

We may update, modify, or change the Service at any time. This includes adding new features, updating AI models, fixing bugs, or removing features. We will try to inform you of significant changes, but security and critical updates may happen without notice.

10. Limitation of Liability (Consumer-Compliant)

10.1 Our Liability to You

We are liable for:

  • Damages caused by our negligence or willful misconduct
  • Breach of express warranties or guarantees
  • Violations of consumer protection laws
  • Personal injury or property damage we cause

10.2 Liability Limitations

Our liability is limited to:

  • Direct damages actually suffered by you
  • Amount equal to 12 months of subscription fees
  • €10,000 maximum for any single incident

10.3 Consumer Rights Protection

These limitations do not apply to death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, rights that cannot be excluded under consumer law, or statutory consumer remedies.

10.4 Indemnification

You agree to indemnify and hold harmless AgentCanvas from any claims, damages, or expenses arising from:

  • Your use of the Service in violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of third-party AI provider terms or acceptable use policies
  • Content you create, upload, or share through the Service

11. Consumer Complaints and Disputes

11.1 Internal Complaint Process

If you have a complaint:

  1. Contact our customer service at support@agentcanvas.net
  2. We'll acknowledge within 3 business days
  3. We'll investigate and respond within 14 days
  4. We'll work to resolve the issue fairly

11.2 External Dispute Resolution

If we can't resolve your complaint:

  • Consumer Mediation: Contact Dutch consumer mediation services
  • Consumer Protection Agency: File complaint with Dutch consumer authority
  • EU Online Dispute Resolution: Use EU ODR platform for online purchases
  • Legal Action: You retain the right to pursue legal remedies

11.3 Governing Law and Jurisdiction

  • Dutch consumer protection laws apply
  • You can bring legal action in your home country's courts
  • We cannot require you to travel to the Netherlands for disputes under €5,000

12. Subscription Management

12.3 Subscription Changes

  • You can upgrade or downgrade at any time
  • Changes take effect at next billing cycle
  • No penalties for subscription changes
  • Pro-rated adjustments for mid-cycle changes

13. Consumer Protection Compliance

13.1 Unfair Terms Protection

Any terms found to be unfair or unreasonable under consumer law will be considered void and unenforceable, replaced with fair and reasonable alternatives, and will not affect the validity of the remaining terms.

We provide all mandatory information including:

  • Our complete business details and registration
  • Total price including all taxes and fees
  • Your consumer rights and how to exercise them
  • Cancellation and refund procedures
  • Contact information for complaints

13.3 Updates to Consumer Terms

  • Changes cannot reduce your existing rights
  • You can cancel without penalty if you disagree with changes
  • Continued use constitutes acceptance of new terms
